At the meeting of Ordinary General Assembly Meeting that was held on March 26, 2024, Board of Directors' proposal concerning the distribution of 2023 operating profits were approved exactly as it was. The proposal suggests; not distributing dividends aiming to optimize the cash flows since the Company is in investment period and transferring the remaining amounts from the profits prepared according to the Tax Procedure Law and the CMB regulations to extraordinary reserves and retained earnings respectively, after the allocation of the primary legal reserve pursuant to the regulation from the profits prepared according to the Tax Procedure Law and the CMB regulations. At the meeting of Ordinary General Assembly Meeting that was held on March 21rd, 2023, Board of Directors' proposal concerning the distribution of 2022 operating profits were approved exactly as it was. The proposal suggests; not distributing dividends aiming to optimize the cash flows since the Company is in investment period and transferring the remaining amounts from the profits prepared according to the Tax Procedure Law and the CMB regulations to extraordinary reserves and retained earnings respectively, after the allocation of the primary legal reserve pursuant to the regulation from the profits prepared according to the Tax Procedure Law and the CMB regulations. At the meeting of Ordinary General Assembly Meeting that was held on March 24th, 2021, Board of Directors' proposal concerning the distribution of 2020 operating profits were approved exactly as it was. The proposal suggests; not distributing dividends in accordance with the current strategies of the Company due to the general economic conjuncture and Company’s financing policy, aiming to optimize the cash flows of the Company and transferring the remaining amounts from the profits prepared according to the Tax Procedure Law and the CMB regulations to extraordinary reserves and retained earnings respectively, after the allocation of the primary legal reserve pursuant to the regulation from the profits prepared according to the Tax Procedure Law and the CMB regulations. At the meeting of Ordinary General Assembly Meeting that was held on March 25th, 2020, Board of Directors' proposal concerning the distribution of 2019 operating profits were approved exactly as it was. At the meeting of Ordinary General Assembly Meeting that was held on March 26th, 2019, Board of Directors' proposal concerning the distribution of 2018 operating profits were approved exactly as it was. The proposal suggests; not distributing dividends due to the general economic conjuncture, aiming to optimize the financing expenses and cash flows of the Company and transferring the remaining amounts from the profits prepared according to the Tax Procedure Law and the CMB regulations to extraordinary reserves and retained earnings respectively, after the allocation of the primary legal reserve pursuant to the regulation from the profits prepared according to the Tax Procedure Law and the CMB regulations. In accordance with the decision of General Assembly Meeting dated 21.03.2018; cash dividend payment process, regarding distribution of TL 0,075 for 1 TL nominal value share, started on March 27th, 2018 and ended on March 29th, 2018. In accordance with the decision of General Assembly Meeting dated 23.03.2017; cash dividend payment process, regarding distribution of TL 0,075 for 1 TL nominal value share, started on March 28th, 2017 and ended on March 30th, 2017. In accordance with the decision of General Assembly Meeting dated 24.03.2016; cash dividend payment process, regarding distribution of TL 0,07 for 1 TL nominal value share, started on March 28th, 2016 and ended on March 30th, 2016. In accordance with the decision of General Assembly Meeting dated 23.03.2015; cash dividend payment process, regarding distribution of TL 0,07 for 1 TL nominal value share, started on March 25th, 2015 and ended on March 27th, 2015. In accordance with the decision of General Assembly Meeting dated 21.03.2014; cash dividend payment process, regarding distribution of TL 0,05 for 1 TL nominal value share, started on March 25th, 2014 and ended on March 27th, 2014. At the meeting of Ordinary General Meeting of Shareholders that was held on March 26th, 2013, the proposal concerning the distribution of profit for year 2012, corresponding %5 of our issued capital amounting TRY 600.000.000, as cash (gross=net) to our shareholders was approved. The dividend distribution process has started on March 28th, 2013 and ended on April 1st, 2013. At the meeting of Ordinary General Meeting of Shareholders that was held on March 28th, 2012, the proposal concerning the distribution of profit for year 2011, corresponding %5 of our issued capital amounting TRY 600.000.000, as cash (gross=net) to our shareholders was approved. The dividend distribution process has started on March 29th, 2012 and ended on April 2nd, 2012. At the meeting of Ordinary General Meeting of Shareholders that was held on 25th March 2011, the proposal concerning the distribution of profit for year 2010, %5 of our issued capital 450.000.000.-TL, to our shareholders as cash (gross=net) was approved and the dividend distribution has started on March 28th, 2011 and ended on March 30th, 2011. At the meeting of Ordinary General Meeting of Shareholders that was held on 26th March 2010, the proposal concerning the distribution of profit for year 2009, %5 of our issued capital 450.000.000.-TL to our shareholders as cash (gross=net) was approved and the dividend distribution started on March 29th, 2010 and ended on March 31st, 2010. The Company's net income for the period as of December 31, 2008; is TRY 53.095.234,00 in the financial statements prepared in accordance with the Capital Market Board's "Communiqué Serial XI No:29 on Principles Regarding Financial Reporting in Capital Markets" and is TRY 54.958.834,09 in the legal records maintained in accordance with Tax Procedures Law. In accordance with CMB Regulations and Company's Dividend Policy, the decision of Board of Directors dated February 27th, 2009 concerning the distribution of first shareholders' dividend (%5) which is TRY 22.500.000,00 to shareholders as cash, has been presented to the approval of the General Assembly of the shareholders dated March 27, 2009 and the proposal has beeen accepted in the same meeting. The dividend distribution started on March 30th, 2009 and ended on April 2nd, 2009. The Company's net income for the period as of December 31, 2007, is 54.942.236,00 TRY in the financial statements prepared in accordance with the Capital Market Board Communiqué No:XI/25 'Communiqué on Capital Market Accounting Standards' and is 56.130.799,84 TRY in the legal records maintained in accordance with Tax Procedures Law. In accordance with CMB Regulations and Company's Dividend Policy, the decision of Board of Directors dated February 29th, 2008 concerning the distribution of first shareholders' dividend (%5) which is 22.500.000,00 TRY to shareholders as cash, has been presented to the approval of the General Assembly of the shareholders dated March 25, 2008 and the proposal has beeen accepted in the same meeting.

The application to Capital Markets Board regarding the capital increase was made on April 10, 2018 and the Capital Markets Board approved our application on April 27, 2018. The operations regarding the allocation of stock dividend was completed on 08/05/2018 and the issued shares for the capital increase have been distrubuted as stock dividend to the shareholders in proportion of their share in the Company’s capital. The registration of capital increase was completed on May 22, 2018 and the new capital has been published on Turkish Trade Registry Gazette number 9587 on May 28, 2018. The Company's issued capital has been increased from TL 850,000,000 to TL 913,750,000 and the capital increase amounting TL 63,750,000 was covered by retained earnings in accordance with the decision which has been taken at the meeting of Ordinary General Meeting of Shareholders. The application to Capital Markets Board regarding the capital increase was made on April 03, 2017 and the Capital Markets Board approved our application on April 21, 2017. The operations regarding the allocation of stock dividend was completed on 02/05/2017 and the issued shares for the capital increase have been distrubuted as stock dividend to the shareholders in proportion of their share in the Company’s capital. The registration of capital increase was completed on May 10, 2017 and the new capital has been published on Turkish Trade Registry Gazette number 9327 on May 16, 2017. Registration of Issued Capital (25/05/2016) The Company's issued capital has been increased from TL 746,000,000 to TL 850,000,000 and the capital increase amounting TL 104,000,000 was covered by retained earnings in accordance with the decision which has been taken at the meeting of Ordinary General Meeting of Shareholders. The application to Capital Markets Board regarding the capital increase was made on April 12, 2016 and the Capital Markets Board approved our application on April 28, 2016. The operations regarding the allocation of stock dividend was completed on 11/05/2016 and the issued shares for the capital increase have been distrubuted as stock dividend to the shareholders in proportion of their share in the Company’s capital. The registration of capital increase was completed on May 18, 2016 and the new capital has been published on Turkish Trade Registry Gazette number 9082 on May 25, 2016. Registration of Issued Capital (08.06.2015) The Company's issued capital has been increased from TL 680.400.000 to TL 746.000.000 and the capital increase amounting TL 65.600.000 was covered by retained earnings in accordance with the decision which has been taken at the meeting of Ordinary General Meeting of Shareholders. The application to Capital Markets Board regarding the capital increase was made on April 15, 2015 and the Capital Markets Board approved our application on May 18, 2015. The operations regarding the allocation of stock dividend was completed on 22/05/2015 and the issued shares for the capital increase have been distrubuted as stock dividend to the shareholders in proportion of their share in the Company’s capital. The registration of capital increase was completed on June 02, 2015 and the new capital has been published on Turkish Trade Registry Gazette number 8836 on June 08, 2015 Registration of Issued Capital (18.06.2014) The Company's issued capital has been increased from TL 630.000.000 to TL 680.400.000 and the capital increase amounting TL 50.400.000 was covered by retained earnings in accordance with the decision which has been taken at the meeting of Ordinary General Meeting of Shareholders. The application to Capital Markets Board regarding the capital increase was made on April 10, 2014 and the Capital Markets Board approved our application on May 20, 2014. The operations regarding the allocation of stock dividend was completed on 22/05/2014 and the issued shares for the capital increase have been distrubuted as stock dividend to the shareholders in proportion of their share in the Company’s capital. The registration of capital increase was completed on June 05, 2014 and the new capital has been published on Turkish Trade Registry Gazette number 8593 on June 18, 2014. Registration of Issued Capital (13.06.2013) The Company's issued capital has been increased from TRY 600.000.000 to TRY 630.000.000 and the capital increase amounting TRY 30.000.000 was covered by retained earnings. The registration of capital increase was completed on 07.06.2013 and the new capital has been published on Turkish Trade Registry Gazette number 8341 on June 13, 2013. Registration of Issued Capital (14.07.2011)
Registration of increase of our issued capital from TRY 450.000.000 to TRY 600.000.000 was completed on 08.07.2011 and has been announced on issue no.7858 of Turkish Trade Registry Gazette dated 14.07.2011.

Decision Regarding the Capital Increase (11.04.2011) At the meeting of Board Of Directors that was held on 11th April 2011, it was unanimously decided to increase Company's current issued capital by 33,333%, from TRY 450.000.000 to TRY 600.000.000, within the registered capital ceiling of TRY 2.000.000.000. The amount of TRY 150.000.000 of the increase will be covered by retained earnings. As regarded; the shares to be issued for the capital increase, will be distrubuted as bonus shares to the shareholders in proportion of their share in the Company's capital. Our Company will apply to the Capital Markets Board (CMB) to complete the necessary prosedures.

ANNOUNCEMENT OF İŞ GAYRİMENKUL YATIRIM ORTAKLIĞI A.Ş. REGARDING THE ALLOCATION OF BONUS SHARES

The shares with the nominal value of TRY 150.000.000, that are to be issued due to the increase in our issued capital covered by retained earnings, from TRY 450.000.000 to TRY 600.000.000 within the registered capital ceiling of TRY 2.000.000.000, were registered by Capital Markets Board(Board)'s registry document dated 01/06/2011 and numbered GYO.82/487. However this registration does not mean the guarantee of our Company or its shares by the Board or the public. Out of the shares representing the increased capital of TRY 150.000.000, our shareholders have the right to get bonus shares in proportion of 33,33333% of their share in the Company's capital. The shares to be issued will have the right to receive dividends as of the fiscal year 2011. In case, the Company makes profit and a decision regarding the distribution of the profit is taken in the Ordinary General Meeting, the shares to be issued will receive their first dividend related with 2011 year end profit.

Principles of using bonus share rights:
The operations regarding the allocation of bonus shares, will begin on 06/06/2011. There is no time limit for bonus share operations. Shareholders, whose shares are kept electronically by the Central Registry Agency, in accordance with the regulations of Capital Markets Board regarding demateralization system, will receive their bonus shares in dematerialized form. The registration of increasing Company's issued capital from 329.000.000 TRY to 450.000.000 TRY has been realized on 12th July 2007 and has been announced in the Trade Registry Gazzette dated 18th July 2007. The amount of 103.535.700 TRY (%31,37769) of the raise has been covered by shareholders' equity inflation restatement differences and the amount of 16.498.300 TRY (%5) of the raise will be covered by 2006 period income.

İş REIT increased the Company's registered capital ceiling;
İş REIT's request about increasing Company’s registered capital ceiling from 500 million TRY to 2.000 million TRY and changing the articles of Company's Articles of Association, related to the capital and the shares, was approved by the CMB on September 22, 2006.
